Terms of Service (for Event Delegates)

This Terms and Conditions of Use (hereinafter referred as the “T&C”) is a legal agreement concerning the use of FlowReg Services (as defined below) between you, the participant/end-user who has subscribed or signed into FlowReg Services (hereinafter referred to as “You” or “Attendee”) and DIGIT ZERO Company Limited, a limited company duly incorporated and existing under the laws of Thailand and having its registered office at 1757/29 Chan Road, Thungmahamek, Sahtorn, Bangkok 10120 Thailand (hereinafter referred to as “FlowReg”)

PLEASE READ THIS PRESENT T&C CAREFULLY BEFORE DOWNLOADING FlowReg’S APPLICATION ON YOUR DEVICES FOR USE OF FlowReg SERVICES AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS, OBLIGATIONS AND REMEDIES. By downloading, accessing and/or using this FlowReg’s application for use of FlowReg Services, you signify that you have read, understood and agreed to be bound by all of the terms and conditions as set forth in this T&C completely and unconditionally. FlowReg may change this T&C at any time and without notice, effective upon the posting of the revised T&C. Your continuous use of FlowReg’s application for use of FlowReg Services shall be considered your acceptance of the revised T&C. You must have the most current version of FlowReg’s application for use of FlowReg Services to ensure that it is working properly. Furthermore, it is your responsibility to periodically check FlowReg’s application for use of FlowReg Services and/or FlowReg’s website at www.flowreg.com, to determine if you have the most current version thereof. If you do not agree to this T&C, please do not download FlowReg’s application for use of FlowReg Services.

1. DEFINITIONS

In this T&C, the following terms have the meaning ascribed to them below, unless the context requires otherwise:

“Attendee Data” means any electronic personal data or information submitted by the Attendee to FlowReg Services for the purpose of subscribing and using FlowReg Services, booking, making payment for the tickets, including participating in the Event and any activities provided by the Organizer. The Attendee shall own all right, title and interest in and to all the Attendee Data and the Attendee Data shall be protected under the Privacy Policy of FlowReg.

“Confidential Information” means (a) any software/computer programs/applications utilized by FlowReg in the provision of FlowReg Services and its respective source code; (b) Attendee Data; (c) Content (d) FlowReg’s business or technical information, including but not limited to the documentation, files, training materials, any information relating to software plans, designs, costs, prices, names, financial conditions, marketing plans, business opportunities, personnel, research, development or know-how that is designated by the disclosing party as "confidential" or "proprietary" or the receiving party knows or should reasonably know is confidential or proprietary; and (e) the terms and conditions of any agreements/legal undertakings particularly entered into between the Attendee and the Organizer.

“Content” means all software, computer program, application, equipment, device, information on services, profiles, catalogues, images, photos, graphics, prices, fees, discounts, schedules, campaigns, contents of specific terms and conditions, videos, clips, virtual/live motion pictures, sound, music, report and record and/or any materials or other resources used by FlowReg or Attendee or Organizer or the third parties in connection with FlowReg Services to which such party has all right, title and interest in its Content.

“Event” means the exhibition, conference, seminar, meeting, expo, trade show, workshop or any session and activity which is held, advertised and provided by the Organizer in various forms (online or offline) through FlowReg Services.

“Force Majeure Event” means any event beyond the person's control and can include, but not limited to, natural disasters, whether conditions, fire, nuclear incident, electro-magnetic pulse, terrorist act, riots, war, arson attacks, insurgency, rebellion, armed hostilities of any kind, labor disputes, lockouts, strikes, shortages, government actions or restraints, pilferage, bankruptcy, machinery breakdown, network or system interruptions or breakdown, internet or communications breakdown, quarantine, epidemic, pandemic etc.

“Intellectual Properties” means patents, trademarks, service marks, design rights, applications for any of the foregoing, copyright, know-how, trade or business names, any rights in silicon chip topography and any other similar rights or obligations whether registrable or not in any country.

“Organizer” means any person who uses FlowReg Services to optimize the Event operation, manage the Event Content, advertise and provide/offer the Event including any related activities to the Attendee, and take any action as provided by FlowReg in FlowReg Services.

“FlowReg Services” means an online/electronic platform provided as a marketplace primarily for and among the qualified participants/end-users, as the “Organizer”, to be able to optimize the Event operation, manage the Event Content, advertise and provide/offer the Event including any related activities to the Attendee and take any action as provided by FlowReg in FlowReg Services, and, as the “Attendee”, to be able to search different type of Event, find information and promotion in order to help them achieve objective in participating in the Event including to make reservation and payment if required, enter into contractual relationship (if any) with the Organizer, check-in, attend any activities provided in the Event and take any action as provided by FlowReg in FlowReg Services. FlowReg Services may be provided through FlowReg's website (www.flowreg.com), or any mobile applications/software or any pages operating on the third party's social media applications or any services provided through e-mail, mobile device or internet as FlowReg deems appropriate.

2. COMPLIANCE WITH APPLICABLE LAWS AND ELIGIBILITY

2.1 You are solely responsible for ascertaining whether it is legal in your jurisdiction to use the FlowReg Services before you start using the FlowReg Services. By using the FlowReg Services, you confirm you have verified the applicable laws in your jurisdiction and that the use of the FlowReg Services does not violate any applicable laws. Please consult a legal counsel in the applicable jurisdiction if you have any doubts about the legality of your use of the FlowReg Services under the laws of the jurisdiction which applies to you.

2.2 You further agree to comply with all domestic and international laws, statutes, ordinances and regulations regarding your use of FlowReg Services and your submission of acceptable public information. You also agree to comply with all applicable laws, statutes, ordinances and regulations regarding the transmission of technical data.

2.3 The FlowReg Services are available to all individuals who have the full legal capacity to make the transaction (or have the authorization from the legal guardian). By downloading or installing FlowReg's application for registering and using FlowReg Services, you represent and warrant that you have the full legal capacity to do so (or have the authorization from the legal guardian).

2.4 FlowReg reserves the right, in its sole discretion, to terminate or suspend your use of FlowReg Services, refuse any and all current or future use of all or any portion of FlowReg Services, and change FlowReg's eligibility criteria at any time. This provision is void where prohibited by any applicable laws and the right to access the FlowReg Services is revoked in such jurisdiction.

3. MODIFICATOINS OF APPLICATION, WEBSITE AND FlowReg SERVICES

FlowReg reserves the right, at its sole discretion, to modify, change, suspend or discontinue the application, website and FlowReg Services, including without limitation, the availability of any database, Content or feature at any time without any notice. FlowReg shall release such modification/change/suspension/discontinuance via FlowReg’s application, website and FlowReg Services.

4. GRANT OF USE AND REGISTRATION

4.1 FlowReg shall grant to the Attendee a limited, non-exclusive, non-transferable, non-sublicenseable, and revocable right to use the FlowReg Services worldwide and without charge for the purpose of downloading or installing FlowReg’s application and/or using FlowReg’s website or FlowReg Services. However, FlowReg reserves the right to charge for downloading or installing FlowReg’s application and/or using Zip’s website or FlowReg Services or using future releases and/or certain features enabled by FlowReg’s application at a future date with or without notice.

4.2 Prior to using certain aspects of the FlowReg Services, you are required to register with FlowReg and provide FlowReg with an accurate, truthful and complete Attendee Data, including without limitation your name or entity code, e-mail address and a password (“User Identity”) you will use to access the FlowReg Services. Upon that, you are further required to keep your registration information accurate and up-to-date. Failure to do so shall constitute a breach of this T&C, which may result in immediate termination of your account.

4.3 Notwithstanding the forgoing, FlowReg reserves the right to refuse registration of, or cancel a User Identity or cancel a registration in its sole discretion and for whatsoever reason without the need to justify such refusal. The reasons for such refusal can include, but not limited to, (1) the Attendee’s breach of this T&C; (2) suspicious reservation; (3) suspected criminal activity; (4) suspicion of fraud or theft; (5) submission of misleading or erroneous information; (6) the Attendee’s reselling FlowReg Services reserved through FlowReg Services without FlowReg’s prior written approval; (7) legal restrictions; (8) the Organizer’s request; (9) Force Majeure Event; (10) trade or economic sanctions; (11) credit card problem; (12) inappropriate behavior, (13) threats; (14) insults; (15) violence; (16) refusal to provide information; (17) practical obstacles; (18) communication problems; (19) blacklisting by the government or international organization; (20) history or previous records; (21) obvious errors etc.

4.3 You acknowledge and agree that when registering, certain Attendee Data associated with your email may be imported from your profile on other databases or third party’s applications. You further agree that following your registration for the use of FlowReg Service, your profile may be updated with information associated with your email address and previously provided in connection with your registration for, or participation in, the Organizer’s Event utilizing the FlowReg Services.

You acknowledge that you shall be responsible for maintaining the confidentiality of the User Identity. Furthermore, you are entirely responsible for any and all activities which occur under the User Identity whether such activity shall be carried out by you or your authorized persons or any unauthorized persons and agrees to immediately notify FlowReg of any unauthorized use of FlowReg Services or your User Identity, or any other breach of security, that is known to you.

4.5 By downloading Zip’s application for using FlowReg Services, you agree to receive push notifications, messages, e-mails, text messages and/or any other means of communication format from FlowReg.

4.6 You agree that FlowReg may use the Attendee Data to contact you and to deliver any information to you that, in some cases, is targeted to your interests. By accepting this T&C, you expressly agree to receive this information.

4.7 In using FlowReg Services and after the Attendee’s acceptance to attend the Event (and payment for the ticket, if required), you acknowledges that there might be related features (as detailed below) that you will be allowed to use in the Event under the Organizer’s management and also you expressly agree to the use terms of such feature.

4.7.1 Booth Reservation System: As a user, you can reserve, register and/or make a payment for booths via FlowReg Services provided in FlowReg’s application or website.

4.7.2 Event Check-in: When you register to any Event arrival, you can use the QR code (or any other form/code as provided by FlowReg Services) to scan and print out the badges. These badges will also be used as a means for the Organizer to collect your information and behavior (such as receipt of reward/gift, in-out record or attending various activities in the Event). FlowReg shall keep the record of your behaviour in the Event and FlowReg will have the right to provide such information to the Organizer.

4.7.3 Live Q&A: You acknowledge and agree that for using this feature:

(a) your questions may be shown publicly.

(b) your name/surname registered with FlowReg will be shown

(c) people can respond, vote and comment on your questions.

(d) the questions to be shown will be solely based on Organizer’ s discretion, FlowReg does not own any rights to alter/move-up anyone's questions.

(e) you cannot post any inappropriate questions or else on FlowReg Services and FlowReg or the Organizer has a right to delete questions. In such case, FlowReg may also consider deleting your account.

4.7.4 Lucky Draw: If you attend the Event and there is a lucky draw feature, you would get a chance to receive a reward and your name would be publicly displayed together with some anonymous/pseudonymized data like 08199982xx or as otherwise provided by the Organizer. FlowReg has no right to change the result. You will have to coordinate with the Organizer if you have any question about the result.

4.7.5 Questionnaire: you can submit questionnaire or participate in a survey form. You agree that information and/or details you provide will be used for FlowReg analysis and improvement of FlowReg Services.

4.7.6 Business Matching: your Attendee Data will be seen by people who participate in the Event and use business matching feature and can be booked a slot for appointments. You will assume all risks for business meeting/matching with other users. FlowReg will not be responsible for screening or conducting authentication of the data of other users for business matching.

4.7.7 Getting brochures/promotion: the Attendee can see and download promotions (Please note that since those information is directly uploaded by the Organizer, any wrong information is not derived from FlowReg’s fault).

4.7.8 Organizer scan leads: The Organizer shall have the right to scan registered badge and get contact of the Attendee as a lead collection. It is your responsibility to give or allow the Organizer to obtain/have your Attendee Data as the Organizer may use your Attendee Data for marketing and/or sales purposes. FlowReg shall not be responsible for any damages or losses incurred from your provision of information and details to the Organizer.

4.7.9 See friends or other people who will be attending that Event: When you register with FlowReg, your public profile might be exposed to other people who also register to that Event, for the purpose of business matching/connections.

4.7.10 Purchase of Tickets: You may be able to purchase ticket to attend the Event held by the Organizer via FlowReg Services. You agree that, for using this feature:

(a) FlowReg is intermediaries in the sale of goods, which include tickets or any items for participation in the Event offered by the Organizer. The Attendee is able to choose payment channels as provided in FlowReg Services. When your order is confirmed, this means that the transactions conducted through the FlowReg Services have been completed, which refers to the fact that you have paid for the goods including the fees relating to FlowReg (if any). FlowReg reserves the right to cancel the transaction, including in the case that you make a mistaken transaction. FlowReg shall confirm your transaction via e-mail and SMS or other means in the future.

(b) FlowReg is not involved in pricing in all cases. The Organizer will determine the price of tickets/items, discounts, or promotions (if applicable) which shall be collected through FlowReg Services. Either, FlowReg is not involved in determining the amount of tickets/items to be sold through FlowReg Services in all cases. In addition, in some cases, FlowReg cannot confirm the number of tickets/items that can be sold through FlowReg Services because the amount of the tickets/items on FlowReg Services is determined by the Organizer only.

(c) You agree that when you place an order of any type on the FlowReg Services, FlowReg shall have the right to charge the fee and other related charges for the payment services rendered according to the transaction, in which the fees are subject to change depending on the kind of payment services. The service fees are non-refundable for whatsoever reason.

(d) In case of payment by the credit card, the Attendee acknowledges that (i) the Attendee’s bank may impose additional fees on the transaction over which FlowReg have no control due to FlowReg’s use of technology for protection and encryption of the credit card information when in transit to FlowReg; (ii) certain credit cards providers may charge their member banks a fee for processing the foreign transaction, whereby if the Attendee make card transactions and the recipient uses a bank located in a different country other than the bank which issued the card, an international service assessment, cross-border transaction fee or similar fee may be charged, and the Attendee’s issuing bank may or may not pass this fee on to the Attendee; (iii) In the event of credit card fraud or unauthorized use of the Attendee’s credit card by any third parties, the Attendee shall contact the bank or card issuer immediately upon becoming aware of such unauthorized use and if the Attendee suspect an unauthorized or fraudulent reservation was made through FlowReg Services, the Attendee is required to notify of the same to FlowReg immediately; (iv) the prices of tickets/items can be converted into different currencies for the Attendee’s convenience which may include a conversion and/or processing fee for certain currencies. The currency and amount displayed at the latest on the final page of reservation and order shall be the amount FlowReg shall charge the Attendee’s credit card.

(e) FlowReg shall not be liable for any damages caused by postponement or cancellation of the Event by the Organizer for whatsoever reason.

(f) FlowReg will not take part in any aspect of the Event held by the Organizer. If you find that the tickets/items or any activity in the Event do not meet with the purpose of your purchase, you agree to directly contact the Organizer.

4.7.11 Contact Sharing: the Attendee who participate in the Event (regardless of its status or objectives of participation) may exchange or share the contact with each other. It is your responsibility to give or allow any other Attendee to obtain/have your Attendee Data as such Attendee requesting may use your Attendee Data for any purposes. FlowReg shall not be responsible for any damages or losses incurred from your provision of information and details to the Attendee.

5.RESTRICTIONS

In consideration of your use of FlowReg Services, you undertake that you shall not:

5.1 Impersonate any person or entity or use false, misleading or fraudulent information.

5.2 Infringe any other person's Intellectual Properties

5.3 Use a User Identity that is otherwise offensive, vulgar or obscene

5.4 Use information which is defamatory, trade libelous, unlawfully threatening or harassing

5.5 Use information which is obscene or contains any form of pornography

5.6 Provide information or content which contains viruses, trojan horses, worms, time bombs, cancelbots, or other computer programming routines that may damage, interfere with, intercept or expropriate any system, data or personal information.

5.7 Create or access an account for anyone other than yourself without permission

5.8 Store, use, sell, transfer or make any commercial use and/or any other use of the data received from FlowReg other than the intended services provided through FlowReg Services.

5.9 Take any action that imposes or may impose, as determined by FlowReg within its sole discretion, an unreasonably or disproportionately large load on the infrastructure of FlowReg or its third party providers.

5.10 Interfere with or disrupt or attempt to interfere with or disrupt the proper working of FlowReg Services or any activities conducted in connection with FlowReg Services

5.11 Bypass or attempt to bypass any measure Zip may use to prevent or restrict access to FlowReg Services or any part thereof (or other accounts, computer systems or networks connected to FlowReg Services)

5.12 Run any form of auto-responder or "spam" on FlowReg Services

5.13 Use manual or automated software, devices, or other processes to "crawl" or "spider" any page on the FlowReg’s website.

5.14 Post or submit unsolicited commercial e-mail, chain letters, pyramid schemes, or seek or encourage others to engage in these activities

5.15 Use the contact information of other users for the purpose of disseminating to those other users unsolicited commercial messages.

5.16 Directly or indirectly, decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of FlowReg Services, or attempt to do any of the foregoing except to the limited extent applicable laws specifically prohibit such restriction.

5.17 Directly or indirectly, modify, translate, or otherwise create derivative works of any part of FlowReg Services.

5.18 Directly or indirectly, copy, rent, lease, distribute or otherwise transfer any of the rights received hereunder.

6.SUSPENSION AND INTERRUPTION OF FlowReg SERVICES

FlowReg is entitled to interrupt or suspend any provision of FlowReg Services for any of the following reasons:

(a) Performance of maintenance or construction on any FlowReg’s facilities.

(b) Difficulty for FlowReg in providing FlowReg Services resulting from the discontinuation of telecommunication service(s) provided by any telecommunications organization other than FlowReg

(c) Situation in which the ordinary provision of FlowReg Services is rendered impossible by Force Majeure Event

(d) Any other situation in which FlowReg deems it necessary to suspend or interrupt FlowReg Services for the purpose of operation.

FlowReg shall not be liable to any loss or damage incurred to you or any third party by suspending or interrupting FlowReg Services.

7. USE OF FlowReg SERVICES VIA MOBILE DEVICES

FlowReg may offer FlowReg Services through mobile applications created by it or third party developers. If you use FlowReg Services through a mobile device, you agree that information about your use of FlowReg Services through your mobile device and carrier may be communicated to FlowReg, including but not limited to your mobile carrier, your mobile device, or your physical location. In addition, use of FlowReg Services through a mobile device may cause Attendee Data or any information to be displayed on and through your mobile device. By accessing FlowReg Services using a mobile device, you represent that, to the extent you import any of your FlowReg’s data to your mobile device, you have authority to share the transferred data with your mobile carrier or other access providers. You acknowledge your responsibility for all charges and necessary permissions related to accessing FlowReg Services through your mobile access providers. Therefore, FlowReg recommend that you check with your providers to find out if FlowReg Services are available.

8. USER CONTENT

8.1 As part of FlowReg Services, FlowReg enable Attendee, Organizer and affiliated websites owned and operated by the third parties and connected to FlowReg Services via APIs, to upload the Content to FlowReg Services. The Content will not be private and may be available to all or part of the users.

8.2 By submitting the Content to, on or through FlowReg Services, you represent, warrant and confirm that: (i) you are the exclusive author of the Content and the Content is your original work and is not copied in whole or in part from any other work; or (ii) you have obtained all necessary rights, licenses and/or permissions required for the use, uploading, publication or any other form of exploitation of the Content in the manner contemplated by FlowReg Services, including without limitation permissions relating to copyrights, trade names trademarks, rights of publicity and/or rights of privacy; and (iii) the Content is not libelous, obscene or otherwise in violation of this T&C.

8.3 By submitting the Content to, on or through FlowReg Services, you grant both FlowReg and the Organizer to which the information pertains, and irrevocable, royalty-free, worldwide, perpetual right and license to publicize, display, distribute, reproduce, transfer, disseminate, use, copy, modify, archive, store, and create derivative works based upon such Content, in any form, media or technology of any kind whether now existing or developed in the future.

8.4 Without limiting the generality of the previous sentence, you agree and authorize FlowReg and its affiliates and business partners to: (i) share the Content across all affiliated websites, and, in FlowReg’s discretion, to use your name and any other information in connection with its use of such Content; and (ii) allow and enable other attendees or Event organizers to make use of the Content uploaded or inserted by yourself and stored on FlowReg’s database, for the purposes of other events utilizing FlowReg Services.

8.5 All rights granted in this Section are granted by you without the need for, or right to consideration, remuneration or compensation of any kind or sort to you.

8.6 You acknowledge that FlowReg Services include, among others, a feature enabling the Organizer to "manage and create Event" in respect of the Content pertaining to its Event. This feature enables the Organizer to assume control over such Content, to the exclusion of your control, regardless of the source of such Content. By uploading the Content relating to the Event you agree that the Organizer may, without limitation, edit, modify, supplement, remove, delete or otherwise introduce a change to such Content. The exercise of such right shall not relieve or absolve the Organizer from responsibility or liability with respect to any Organizer’s contract, posted or uploaded by such Organizer. You acknowledge and agree that FlowReg assumes no obligation to verify or authenticate the identity, genuineness, right or proprietorship of the Organizer to "manage and create Event" nor does FlowReg assume any responsibility or liability in connection with the use of such feature by the Organizer or any third party purporting to be the Organizer or any consequence thereof.

8.7 Without limiting other remedies, FlowReg may limit, suspend or terminate FlowReg Services or any part thereof, delay or remove hosted Content, and take technical and legal steps to keep users off the services provided through FlowReg Services if FlowReg thinks that such user is misusing FlowReg Services or exposing FlowReg or any other user to potential liability.

8.8 You may be held liable for any illegal or prohibited Content made accessible on or through FlowReg Services or to other users, including, for example, infringing, defamatory, or offensive materials etc.

8.9 FlowReg Services are available for all users to enjoy, you may not, under any circumstances, and hereby represent, warrant and undertake that you will not upload, embed, post, transmit, e-mail, disseminate or otherwise make public, available or accessible to, on or through the FlowReg Services any Content that:

8.9.1 infringes the rights of any third party including without limitation any third party's rights in the Intellectual Properties

8.9.2 is false, misleading or fraudulent

8.9.3 is offensive, vulgar or obscene, defamatory, libelous, unlawfully threatening or harassing; pornographic, abusive, disparaging, pedophilic, harmful or contains hate propaganda or promotes discrimination or violence against any person or entity or is otherwise malicious or unlawful

8.9.4 violate or is invasive of the privacy of others

8.9.5 promote illegal activities or conduct, provide instructional information about illegal activities such as making or buying illegal weapons, or providing or creating computer viruses.

8.9.6 is or promotes an illegal or unauthorized copy of another person's work, such as providing pirated computer programs or links to them, or providing information to circumvent manufacture-installed copy-protect devices

8.9.7 contains a software virus or any other code files or programs that are designed to or have the ability to interrupt, destroy, compromise, or otherwise limit the functionality of any computer software or hardware or telecommunications equipment whether owned by FlowReg or any other party

8.9.8 otherwise violates any law, statute or regulation or third party right.

8.10 FlowReg may restrict, suspend, or remove any Content or any part thereof, or remove Content if in FlowReg’s discretion, the Content violates any of the terms and conditions of this T&C.

8.11 All users acknowledge that given the nature of FlowReg Services and the volume of Content FlowReg receives, FlowReg cannot and do not monitor all Content or other materials posted or transmitted by the users and third-party information providers.

8.12 You acknowledges that ideas you post and information you share may be seen and used by other users or users of FlowReg Services, FlowReg cannot guarantee that other users will not use the ideas and information that you share on FlowReg Services. Therefore, if you have an idea or information that you would like to keep confidential and/or do not want others to use, or that is subject to third party rights that may be infringed by your sharing it, do not post or share on FlowReg Services.

8.13 YOU ACKNOWLEDGE THAT FlowReg IS NOT RESPONSIBLE FOR ANY USER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU UPLOAD TO THE FlowReg SERVICES OR POST IN ANY FlowReg COMMUNITY FORUMS, APPLICATION OR WEBSITE.

8.14 FlowReg does not necessarily endorse, support, sanction, encourage, verify, or agree with any Content posted using FlowReg Services. Any such statements are the views and responsibilities of those who posted or uploaded them, and do not necessarily represent FlowReg’s views. You agree that FlowReg is not and shall not be responsible nor shall FlowReg has any liability to you whatsoever, with respect to any such statements.

9. THIRD PARTY SITES AND SERVICES

FlowReg may include links to the third-party websites, resources or services on FlowReg Services ("Third Party Sites"). You are responsible for evaluating whether you want to access or use Third Party Sites as such access is done at your own risk. The inclusion of any such link does not imply endorsement by FlowReg or any association with its operator. These Third Party Sites are not under FlowReg's control, and you acknowledge that FlowReg is not responsible or liable for the contents, functions, accuracy, legality, appropriateness or any other aspect of such Third Party Sites or resources. You further acknowledge and agree that FlowReg shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such Third Party Sites or resources.

10. UPGRADES, ADDITIONAL SERVICES AND PAYMENT TERMS

10.1 You may subscribe for FlowReg upgraded plans and enjoy a variety of new features ("Upgrade") including additional services for the Event. To learn more about FlowReg’s additional services and Upgrade, please visit www.flowreg.com/organizer

10.2 The payment terms shall apply whenever you elect to purchase any paid service from FlowReg or subscribing for one of the Upgrade. You acknowledge that the payment terms that will govern your purchase are those published at the day of purchase as these payment terms may be changed from time to time, with or without prior notice. These payment terms are in addition to and do not derogate from the general terms and conditions applicable to use of the FlowReg Services.

10.3 Rates and Changes in Rates: In order to view FlowReg’s rates charged, please visit www.flowreg.com/organizer. FlowReg reserves the right to modify its rates of any of its services and to add new fees and charges for certain features or additional services at any time and with no prior notice by publishing the new rates at the aforementioned website.

10.4 In any case, the new rates will only apply to purchases made after said publishing. If you have purchased an auto-renewable service (if any), you will be notified by email, in advance regarding the change in rates that would become effective in your next billing. If you do not agree to the revised rates, then you may select to cancel your Upgrade prior to said rates entering into effect. For more information on how to cancel your Upgrade, please refer to the "cancellation" clause below.

10.5 Taxes and Mandatory Payment: FlowReg's rates are net of any purchase tax, VAT or other similar levies taxes or statutory imposed by applicable laws on the purchase of Upgrade or additional services. You acknowledge that you are to pay any taxes or similar applicable charges associated with your purchase and assume all risks, liabilities or responsibilities in connection with said statutory payments and/or any variation in the rates thereof.

10.6 Third Party Fees and Commissions: FlowReg's rates and prices for FlowReg’s services do not include any third-party fees including, but not limited to, payment clearing charges, commissions or fees charged by your internet access provider, any cellular or wireless carrier charges for data services or any other third party applications or services with which you may use the service; you are responsible for selecting and managing these other services, and paying these fees.

10.7 Payment Method: FlowReg, in its sole discretion, may determine, from time to time, which types of credit/debit cards or other forms or method of payment (e.g., Paypal) it accepts as payment methods for its features and/or additional services (each, an “Accepted Payment Method”). When purchasing with an Accepted Payment Method, the fees for the purchase will be billed/charged immediately following your confirmation and approval of the purchase. Upon purchasing a service that renews automatically("Autorenewable"), such as daily, weekly or monthly, FlowReg may process your Accepted Payment Method on each predetermined calendar date. You acknowledge that FlowReg is entitled to retain and/or share with any financial institutions and payment processing firms your submitted payment information. If your purchased service began on a day not contained in a subsequent month, FlowReg will process your payment on the last business day of such month.

10.8 You acknowledge that the amount charged automatically may vary from time to time due to changes in your account, changes in applicable taxes, exchange rate fluctuations or other related changes. You hereby authorize FlowReg to charge your credit card for such varying amount.

10.9 Payment: By purchasing a service via the submission of a form of payment, you hereby confirm and agree that: (i) FlowReg is authorized to charge you for all purchased services using the provided information and payment method which are stored in your account as of the applicable date for payment; (ii) your payment for the feature or additional service on the due date form of payment will be fulfilled; (iii) all information provided by you in connection with the payment is true and accurate; (iv) you have full authorization to conclude the transaction and use the payment method provided; and (v) you are responsible for any chargeback fees as well as any reasonable collection costs and legal fees and expenses that FlowReg may incur as a result of your failure to pay on a timely basis.

10.10 FlowReg is permitted to retain all payment information and payment method, including all debit and credit card information submitted by you and your issuing bank or the applicable payment network during the time you benefit from FlowReg's services.

10.11 Charges are made in accordance with the currency specified by FlowReg. You acknowledge that you are to assume all risks, liabilities or responsibilities associated with any fluctuations in exchange rates.

10.12 Changes to your payment methods and account information: You undertake to maintain your account information and all payment information complete, accurate and up to date at all times. You may update your information at any time by sending FlowReg an email to [email protected]. You acknowledge that if, for any reason, the information provided by you is inaccurate, invalid or incorrect, FlowReg shall, nonetheless, be entitled to continue billing your account and/or credit card and that you shall be responsible for any outstanding, uncollected amounts as well as all charges and expenses incurred as a result of said billing.

10.13 Cost of Collection and Credit Card Chargebacks: You undertake to indemnify FlowReg for all reasonable costs and expense incurred by it in its efforts to collect any unpaid or past due amounts, including, but not limited to, reasonable attorneys' fees and other associated costs. Delinquent payments shall bear interest at the rate of 1.25% per month from the due date for payment and until payment is received by FlowReg in full. In addition, you acknowledge and agree that in case you purchase a service with a credit card and then subsequently request your credit card issuer to reverse the payment for such service then FlowReg shall be entitled to block your access to its services until such time as you reimburse FlowReg the amount of the fees FlowReg was charged by the card issuer.

10.14 Refunds: Subject to applicable laws, the payment for FlowReg’s services and upgraded accounts are non-refundable. In the case of postponement or cancellation of any Event, and if you are eligible for a refund, you agree to directly contact the Organizer and the Organizer shall be only party who is responsible for your refund. FlowReg shall not be liable for any damages caused by postponement or cancellation of the Event by the Organizer in any conditions.

10.15 FlowReg reserves the right to refuse any request for refund if it reasonably believes that you are in breach of this T&C or other terms and conditions applicable to the use of FlowReg's services or you willfully trying to exploit this refund policy. If you believe that FlowReg has mischarged you, you may contact FlowReg at [email protected] within ninety (90) days of said charge and FlowReg will check your inquiry. No refunds shall be given for any charges after the passage of ninety (90) days.

10.16 Cancellation: In the case of Auto Renewable services, charges will continue in effect unless and until you elect to cancel it or FlowReg terminates it. Any cancellation will be effective as of the end of the then-current billing period. You may send FlowReg an email to [email protected]. FlowReg reserves the right to cancel or suspend your upgraded account if you fail to pay in full and in a timely manner in accordance with these Payment Terms. Although not obligated to, FlowReg will do its best within reason to provide you with a notice promptly after any failure of payment in full and on time.

10.17 By acquiring an upgraded plan and/or by completing a purchase through FlowReg’s services you hereby agree to these payment terms and conditions.

11. PROTECTION OF INTELLECTUAL PROPERTY RIGHTS

11.1 You acknowledges that FlowReg or its licensor or partners or the third parties (“IPs Owner”) owns all rights of the Intellectual Properties in FlowReg Services and all FlowReg’s Content displayed or in connection with FlowReg Services.

11.2 You shall not do anything or causes anything to be done that would prejudice the IPs Owner's right, title and interest in their respective rights of Intellectual Properties. You undertake that you shall not lay any rights of Intellectual Properties claim to any tools, methods or processes created by the IPs Owner.

11.3 Nothing contained in this T&C obliges any IPs Owner to assign to any person any rights of Intellectual Properties owned by it.

11.4 You agree that FlowReg shall own the aggregated and statistical data derived from the operation of FlowReg Services, including, without limitation, the number of records in FlowReg Services, the number and types of transactions, configurations, and reports processed in FlowReg Services and the performance results for FlowReg Services (the “Aggregated Data”). Nothing herein shall be construed as prohibiting FlowReg from utilizing the Aggregated Data for purposes of operating FlowReg’s business, provided however that FlowReg’s use of Aggregated Data shall not reveal any Attendee Data to any third party.

11.5 FlowReg reserves the right to develop FlowReg Services without notice to you and you shall not take any action to restrict the right of FlowReg to sell, license, assign or transfer the right and all rights of Intellectual Properties in such additional works/services to any person.

11.6 FlowReg shall defend, indemnify and hold the Attendee harmless against any claims made or brought against the Attendee by a third party alleging that the use of FlowReg Services or FlowReg’s Content as contemplated hereunder infringes the third party’s rights of Intellectual Properties enforceable in anywhere; provided, however, that the Attendee: (a) promptly gives a written notice of the claim to FlowReg; (b) gives FlowReg sole control of the defense and settlement of the claim (provided that FlowReg may not settle any claim unless the settlement unconditionally releases the Attendee of all liabilities); and (c) provides to FlowReg, at FlowReg's cost, all reasonable assistance. FlowReg shall not be required to indemnify the Attendee in respect of any claim to the extent that the claim arises from: (1) modification of FlowReg Services by the Attendee in conflict with the Attendee’s obligations or as a result of any prohibited activity as set forth herein; (2) use of FlowReg Services in a manner inconsistent with the documentation provided by FlowReg; (3) use of FlowReg Services in combination with any other service not provided by FlowReg; or (4) use of FlowReg Services in a manner not otherwise contemplated by this T&C.

12. CONFIDENTIALITY

During provision of and access to FlowReg Services, each party may have access to the Confidential Information. All Confidential Information supplied by one party to another shall remain the exclusive property of the disclosing party. The receiving party shall use such Confidential Information only for the purposes the T&C and shall not copy, disclose, convey, or transfer any of the Confidential Information or any part thereof to any third party without the prior consent of the other party. Neither party shall have any obligation with respect to Confidential Information which: (i) is or becomes generally known to the public by any means other than a breach of the obligations of the receiving party; or (ii) was previously known to the receiving party or rightly received by the receiving party from a third party; (iii) is independently developed by the receiving party; or (iv) is required by governmental or judicial order; provided that it gives the other party prompt written notice before such disclosure and complies with any protective order (or equivalent) imposed on such disclosure. This provision shall survive termination of provision or use of FlowReg Services and remain in force until such Confidential Information becomes known to the public by the disclosing party.

13. TERM AND TERMINATION

13.1 This T&C shall remain in full force and effect while you use FlowReg Services and/or are a user. You may terminate your subscription for the FlowReg Services at any time, for any reason with notice to FlowReg. FlowReg can terminate your access to all or any part of FlowReg Services at any time, with or without cause, with or without notice, effective immediately. Upon termination for whatsoever reason, the Attendee shall immediately cease the use of FlowReg Services and FlowReg may immediately cancel Attendee’s User Identity, delete the files in the Attendee’s account, bar any further access to such files or FlowReg Services on the effective date of termination.

13.2 Any fees paid hereunder for FlowReg Services, either on a one-time or subscription basis, are non-refundable upon termination.

13.3 All provisions of the T&C, which by their nature should survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability, shall remain in full force and effect.

14. INDEMNIFICATION

You undertake to hold harmless, defend and indemnify FlowReg, its affiliates, employees, contractors, directors, suppliers, distributors and representatives from all liabilities, claims and expenses, including without limitation reasonable attorney's fees and costs, that arise from or relate to your use or misuse of, or access to, the FlowReg Services or otherwise from your user submissions which violate third party rights or applicable laws, violations of this T&C or infringement by you or any third party using your account.

15. LIMITATION OF LIABILITY

15.1 FlowReg, its affiliates, employees, contractors, directors, suppliers, distributors and representatives shall not be liable under contract, tort, strict liability, negligence or any other legal or equitable relief with respect to FlowReg Services for:

15.1.1 Any lost profits, data loss, or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever (however arising);

15.1.2 Any bugs, viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that may damage, interfere with, intercept or expropriate any system, data or personal information or any unsolicited commercial e-mail, chain letters, or the like (regardless of the source or origin);

15.1.3 Any direct or indirect damages caused by payment gateway, organizers, or any payment-related issues;

15.1.4 Any direct damages in excess, in an aggregate, of US$ 100;

15.2 You acknowledge and agree that FlowReg is not responsible for the accuracy, completeness, or any mistakes in the Content on FlowReg’s website (www.flowreg.com) and FlowReg Services that may result from out-of-date information or spelling mistakes arising from human errors of the staff of FlowReg or details acquired from the Organizer or a third party, or any user, including opinions and recommendations of the staff under the care of FlowReg. FlowReg reserves the right to amend the Content on the website without prior notice.

15.3 You acknowledge and manifestly agree that FlowReg admits no responsibility toward the Attendee’s inability to use FlowReg Services (in any aspect) of FlowReg’s website or application.

15.4 You agree to be responsible for any risk that may arise from choosing the device to use FlowReg Services from FlowReg’s website such as mobile phones, computer, hardware, and other items including fees for the use of FlowReg Services rendered.

15.5 You acknowledge that the media and Content on FlowReg’s website may be inaccurate due to a technical fault or misspelling. Furthermore, providing media, information, and FlowReg Services on FlowReg’s website will be in a “as is” manner with no condition, guarantee, or any type of disclaimer. Therefore, FlowReg refuses to guarantee the conditions of any product, whether explicitly or implicitly, in its entirety. This includes, but is not limited to, implied warranties or conditions suitable for commercial purposes by default, satisfactory quality, suitability of the purpose or the need to use for specific purpose, rightful ownership, and not infringing with respect to FlowReg’s website and its Content and media thereon. FlowReg does not represent that the use of FlowReg’s website shall not cause disruption and the use of FlowReg’s website is subject to the laws imposed on you or the sending of Attendee Data which pertains to FlowReg’s website shall be successful, correct, and delivered safely. However, any rejections mentioned above are subject to the extent permitted by law.

16. WARRANTY DISCLAIMER

16.1 FlowReg PROVIDES FlowReg SERVICES ON AN “AS IS” BASIS AND GRANTS NO WARRANTIES OF ANY KIND, EXPRESSED, IMPLIED OR STATUTORY, IN ANY COMMUNICATION WITH FlowReg’S REPRESENTATIVES, FlowReg OR OTHERWISE WITH RESPECT TO FlowReg SERVICES. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, FlowReg SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

16.2 FlowReg DOES NOT WARRANT THAT YOUR USE OF FlowReg SERVICES WILL BE SECURE, UNINTERRUPTED, ALWAYS AVAILABLE OR ERROR-FREE AT ANY PARTICULAR TIME OR LOCATION, OR THAT ANY CONTENT OR SOFTWARE ARE AVAILABLE AT OR THROUGH FlowReg SERVICES, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT FlowReg SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS IN FlowReg SERVICE WILL BE CORRECTED. FlowReg DISCLAIM LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO CONNECTIVITY AND AVAILABILITY.

16.3 FlowReg is not responsible or liable and makes no representations or warranties for the delivery of any messages sent through FlowReg Services to anyone and is not responsible for any loss of Attendee Data stored on its database.

16.4 FlowReg will not assume any fiduciary duty and/or special relationship with respect to its users of FlowReg Services.

16.5 You acknowledge and agree that you shall download or otherwise obtain material or data through the use of FlowReg Services at your own discretion and risk and that you will be solely responsible for any damages to your computer system or loss of data that results from the download of such material or data.

16.6 Your correspondence or business dealings with other FlowReg’s users, including payment and related services, and any terms and conditions, warranties or representations associated with such dealings, are solely between you and other users of FlowReg.

16.7 FlowReg shall not warrant any of FlowReg’s Content, Organizer’s Content and information provided through FlowReg Services in term of but not limited to completeness, accuracy, certainly and usefulness.

16.8 FlowReg shall not warrant correct behaviour or performance for any devices or software you use for FlowReg Services.

16.9 FlowReg takes no responsibility for any trouble or dispute arising between you and the Organizer or any third party relating to or in connection with using FlowReg Services.

17. GOVRING LAW AND DISPUTE RESOLUTION

This T&C shall be governed by and interpreted in accordance with the laws of Thailand. In the event of any dispute, controversy or claim arising out of or relating to this T&C, or any breach thereof, including without limitation any claim that this T&C, or any part hereof, is invalid, illegal or otherwise voidable or void (“Problems”), both parties shall in good faith seek a resolution to the Problems and if both parties cannot resolve the Problems to the satisfaction of both parties within five (5) business days, the said Problems shall be submitted, to the exclusive jurisdiction of the competent Courts in Thailand.

18. MISCELLANEOUS PROVISIONS

18.1 Integration and Severability: This T&C supersede all prior or contemporaneous communications and proposals (oral, written and electronic) between you and Zip. If any provision of the T&C is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the T&C will otherwise remain enforceable or valid.

18.2 Audit: The Attendee shall allow FlowReg to inspect the use of FlowReg Services at any time in order to verify the Attendee’s compliance with this T&C.

18.3 Assignment: The Attendee is unable to assign its rights, interests and obligations in this T&C to any person without the prior written consent of FlowReg. This T&C shall be binding upon, and inure to the benefit of, the Attendee and their respective successors and permitted assigns.

18.4 Waiver of Rights: The failure of FlowReg to exercise any of its rights or delay in exercising its rights or powers contained in this T&C at any time shall not be construed as a waiver for the future of such rights.

18.5 Languages: This T&C is prepared in English and Thai languages, and English text shall prevail in the event that there is any inconsistency between English and Thai languages or this T&C is translated for any purpose into other languages.
